NESAR AHMAD, 57, B.Com (Hon), F.C.S.

Nesar Ahmad was President of the Institute of Company Secretaries of India in the year 2012 and was a member of the Central Council of ICSI since January 2004 till January 2015. He is a graduate in Commerce and a fellow member of the Institute of Company Secretaries of India having professional experience of about 30 years in the field of Company secretarial services, Corporate Laws, Business Re-structuring, Merger & Amalgamation, Joint Ventures, Takeovers, Winding up, Due Diligence and Legal Matters.

Nesar Ahmad was also the President of Corporate Secretaries International Association (CSIA), having its registered office in Geneva (Switzerland) during the year 2012 and is a member of Council of CSIA till 2014. He was the Chairman of WTO Working Group constituted by CSIA.

He has been the member of Expert Committee on Company Law and Competition Policy constituted by ASSOCHAM (2002-2008). He has been nominated by Indian Institute of Corporate Affairs (IICA) established by the Ministry of Corporate Affairs as an Expert on the panel of IICA for the subject related to Corporate Laws and General Issues. PHD Chamber of Commerce and Industry has appointed Mr. Ahmad as a member of Corporate Affairs Committee. Recently, Government of Haryana has appointed Mr. Ahmad as a member of Tourism Committee of Haryana Sarasvati Heritage Development Board, Government of Haryana.

Nesar Ahmad had been appointed as member secretary/convener of the Committee constituted by the Ministry of Corporate Affairs (MCA) under the Chairmanship of Mr. Adi Godrej to formulate a Policy Document on 'National Corporate Governance Policy'.

In the year 2012, Nesar Ahmad was honoured with the Distinguished Fellowship of the Institute of Directors (IOD). He has been associated with social and non-governmental organisations (NGOs) and at present is the member of Advisory Board of Smile Foundation, and IOD.

During the year 2014, Nesar Ahmad was the independent director on the Board of Indian Oil Corporation Limited, a Mahanavaratna company of the Government of India. At present, he is the independent director on the board of Vimal Organics Limited.

He is also a member of School Board of the School of Management Studies and a member of Committee to review the management programmes, Indira Gandhi National Open University (IGNOU) and has been nominated for three years term as Member of the Department of Commerce, Delhi School of Economics, University of Delhi, Ministry of Human Resource Development, Government of India and also on Editorial Advisory Board of Journal of Commerce & Business Studies, Delhi University. He has been a member of Academic Council and Editorial Advisory Board of Institute of Management Studies (IMS) Ghaziabad, a NACC 'A' Grade accredited management institute. He has been elected as Chairman of capacity development by the working group constituted by IICA-GIZ Business Responsibility Initiative.

He has been widely travelling in both domestic and international jurisdictions and has represented ICSI and CSIA before 'Committee for Specific Commitment of WTO' at Geneva in June 2012 on the issue of inclusion of 'Corporate Governance, Compliances and Secretarial Advisory Services' in the business classification as separate head.

He has been a regular faculty in the seminars/ workshops/ training programmes organized by ICSI, Ministry of Corporate Affairs, UGC, Universities, NGOs and various other Institutions and bodies.

Further, he has been primarily engaged in appearances before various courts/tribunals and authorities viz. erstwhile CLB, NCLT, NCLAT, SAT, Regional Director, SEBI and Stock Exchanges.

He has also served as an arbitrator for NSE and BSE from 2012-2017 for adjudication of matters related to and arising out of transactions executed on NSE/BSE platform.

Hitesh Joshi, B.Com (Hons), FCS,

Hitesh Joshi is a gradute in Commerce and a qualified Company Secretary. He is a Practicing Company Secretary with over 20 years of experience in Corporate Laws, Business Re-structuring, Merger & Amalgamation, Joint Ventures, Takeovers, Winding up, Due Diligence, FEMA, Regulatory Compliances and Legal Matters. He is one of the leading advisors of India in the NBFC matters.

He has authored various books on Corporate Laws and published those on a online library which are freely available for all. He has developed a Online library "Legitax Library" which contains most of the laws applicable in India apart from books on various corporate law subjects.

Ahsan Ahmad, LLB

Ahsan Ahmad, LLB. an Associate Member of ICSI, is a practising advocate with over 8 years of experience in Legal & Secretarial services.

He has been engaged in drafting and review of various company petitions, applications, replies and memorandum of settlements to be filed in NCLT, NCLAT and High Courts in the matters related to oppression & mismanagement, mergers, winding up, condonation of delay, compounding of offences and other allied matters under the Companies Act, 2013. He is also engaged in advisory and drafting of various non - disclosure agreements, master service agreements, statement of works, partnership deeds, trust deed, legal notices, Memorandum of Understanding, arbitral awards, Shareholders Agreement, Share Purchase Agreement, Joint Venture Agreements and other commercial agreements.
